These Terms of Service (“Terms”) govern your access to and use of virtulatesstudios.com (the “Website”) and the online products, communications, content, features, and services offered by Virtulates Studios LLC (“Virtulates,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing the Website, submitting information through the Website, creating an account, purchasing a product or service, joining our waitlist, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Website or Services.

1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use our Website and Services.

By accessing or using the Services, you represent and warrant that:

  • You are at least 18 years old;

  • The information you provide is accurate and complete;

  • You have the legal capacity to agree to these Terms; and

  • Your use of the Services will comply with these Terms and all applicable laws.

Our Services are currently intended for adults. Individuals under 18 may not create an account, purchase Services, join the waitlist, or participate in studio activities through the Website.

2. OUR SERVICES

Virtulates operates a modern reformer Pilates studio offering scheduled classes, memberships, class packages, drop-in services, studio access, digital or on-screen fitness instruction, retail products, promotions, and related services.

Certain Services may be provided or administered through third-party platforms, including Mariana Tek or another studio-management provider. These platforms may support account creation, class reservations, payments, memberships, communications, and other studio functions.

We may add, remove, modify, suspend, or discontinue any part of the Website or Services at any time, subject to applicable law and any separate agreement between you and Virtulates.

Information about class times, staffed hours, studio access, instructors, pricing, memberships, amenities, and availability is subject to change.

3. ACCOUNTS AND ACCOUNT SECURITY

Certain Services may require you to create an account through Virtulates or a third-party studio-management platform.

You agree to:

  • Provide current, accurate, and complete information;

  • Maintain and promptly update your account information;

  • Keep your username, password, and other login credentials confidential;

  • Not permit another person to use your account or studio-access credentials;

  • Accept responsibility for activity occurring through your account; and

  • Notify us promptly if you suspect unauthorized account access or use.

You may not impersonate another person, create an account using false information, or use another person’s payment method or credentials without authorization.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used improperly, create a safety or security concern, or violate these Terms or another Virtulates policy or agreement.

4. PURCHASES, MEMBERSHIPS, AND PAYMENTS

Prices, memberships, class packages, promotional offers, and other purchasing terms will be displayed at the time of purchase or provided in a separate membership or purchase agreement.

By submitting a purchase, you:

  • Authorize Virtulates and its payment processor to charge the payment method provided;

  • Represent that you are authorized to use that payment method;

  • Agree to pay all applicable prices, fees, and taxes;

  • Agree to any billing, renewal, cancellation, expiration, or refund terms presented at checkout or in a separate agreement; and

  • Acknowledge that pricing and availability may change before a purchase is completed.

Some memberships may automatically renew until canceled in accordance with the cancellation terms disclosed at enrollment. The applicable membership agreement will explain the membership’s billing frequency, renewal terms, cancellation procedure, minimum commitment, and other material conditions.

Except where required by law or expressly stated in an applicable purchase or membership agreement, payments may be nonrefundable.

If these Terms conflict with a separately executed membership agreement concerning billing, cancellation, renewal, freezes, studio access, or membership benefits, the membership agreement will control for those subjects.

5. CLASS RESERVATIONS AND STUDIO POLICIES

Reservations, cancellations, late arrivals, no-shows, waitlists, class credits, studio access, and related matters may be governed by policies displayed during booking, posted at the studio, or included in a membership agreement.

You agree to comply with all reasonable studio rules, safety instructions, access procedures, equipment-use requirements, and directions given by Virtulates staff.

We may cancel, substitute, reschedule, or modify a class due to instructor availability, technical problems, maintenance, weather, emergencies, safety concerns, low attendance, or other operational needs.

Class schedules and availability are not guaranteed.

6. FITNESS, HEALTH, AND SAFETY NOTICE

Pilates, resistance exercise, and other physical activities involve inherent risks, including the risk of falls, equipment-related injury, strains, illness, serious bodily injury, or other harm.

The Website and Services are provided for general fitness, educational, and informational purposes. They are not medical advice, diagnosis, physical therapy, rehabilitation, or treatment and should not be used as a substitute for care from a qualified healthcare professional.

Before beginning an exercise program, you should consult an appropriate healthcare professional, particularly if you:

  • Have an injury, illness, medical condition, or physical limitation;

  • Are pregnant or recently postpartum;

  • Are recovering from surgery;

  • Have been advised to restrict physical activity; or

  • Have concerns about your ability to participate safely.

You are responsible for evaluating your ability to participate and for stopping immediately if you experience pain, dizziness, faintness, shortness of breath, or other concerning symptoms.

Participation in studio classes may require you to sign a separate liability waiver, release, and assumption-of-risk agreement. That agreement is separate from these Terms and will govern risks arising from physical participation in Virtulates activities.

Nothing in these Terms waives or limits a right or liability that cannot lawfully be waived or limited.

7. ON-SCREEN AND DIGITAL INSTRUCTION

Certain Virtulates classes may be led through prerecorded, streamed, digital, or on-screen instruction.

You acknowledge that:

  • An instructor may not be physically present in the room;

  • On-screen instruction cannot identify every individual limitation, mistake, or safety concern;

  • You are responsible for selecting appropriate movements, resistance, and modifications;

  • You must follow studio orientation and equipment-safety instructions;

  • You should not perform an exercise that you cannot complete safely; and

  • You are responsible for requesting assistance during staffed hours when needed.

Access to certain unstaffed class times may be limited to eligible members who have completed required orientation or onboarding procedures.

8. WAITLISTS AND PROMOTIONAL OFFERS

Joining a waitlist does not guarantee membership availability, pricing, studio access, an opening date, or eligibility for a particular offer.

Founding-member pricing, presale offers, discounts, promotional benefits, and enrollment periods may be subject to:

  • Availability limits;

  • Eligibility requirements;

  • Expiration dates;

  • Separate purchase or membership terms; and

  • Modification or withdrawal before purchase, where permitted by law.

Any material terms applicable to a promotional offer will be disclosed with that offer.

9. SMS AND TEXT-MESSAGE TERMS

9.1. Program Description

By opting in, you agree to receive recurring automated text messages from Virtulates Studios LLC (“we,” “us,” “our”) at the mobile number you provided. Messages may include appointment and class reminders, reservation updates, account alerts, studio updates, promotional offers, founding membership announcements, and customer support follow-ups. Consent to receive these messages is not a condition of any purchase.

9.2. Message Frequency

You may receive up to 15 messages per month. Message frequency may vary depending on your activity and interactions with us.

9.3. Message and Data Rates

Message and data rates may apply. Charges are billed by and payable to your mobile service provider. Please contact your wireless carrier for details about your messaging plan.

9.4. How to Opt Out and Get Help

You can unsubscribe from the SMS service at any time by replying STOP to any message we send you. After you send STOP, you will receive a one-time confirmation message, and no further messages will be sent. If you want to rejoin, you can sign up again using the original opt-in method or reply START.

9.5. Carrier Liability Disclaimer

Carriers are not liable for any delayed or undelivered messages.

9.6. Mobile Information and Consent

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

10. EMAIL COMMUNICATIONS

If you subscribe to promotional emails, you may unsubscribe at any time by selecting the unsubscribe link included in the email.

Unsubscribing from promotional emails will not necessarily prevent us from sending non-promotional messages about your account, purchases, reservations, membership, safety, security, or ongoing business relationship.

11. ACCEPTABLE USE

You agree not to:

  • Use the Website or Services for an unlawful, fraudulent, or abusive purpose;

  • Provide false, misleading, or unauthorized information;

  • Access or attempt to access another person’s account;

  • Share account, membership, or studio-access credentials;

  • Circumvent security or access-control measures;

  • Interfere with the operation or security of the Website or Services;

  • Introduce viruses, malware, harmful code, or automated attacks;

  • Scrape, harvest, copy, or collect data from the Website without authorization;

  • Use bots or automated systems to access the Website in a manner that creates an unreasonable burden;

  • Reverse engineer or attempt to extract source code from the Website;

  • Misuse our intellectual property;

  • Harass, threaten, or harm customers, staff, contractors, or other individuals;

  • Use the Services in a manner that creates a safety risk; or

  • Encourage or assist another person in violating these Terms.

We may restrict or terminate access when we reasonably believe these Terms have been violated.

12. INTELLECTUAL PROPERTY

The Website and its content—including text, branding, logos, graphics, photographs, videos, class content, workout programming, designs, downloads, software, and other materials—are owned by Virtulates or used with permission and are protected by applicable intellectual-property laws.

Subject to these Terms, Virtulates grants you a limited, personal, revocable, nonexclusive, nontransferable license to access and use the Website for your own lawful, noncommercial use.

You may not copy, reproduce, distribute, publish, transmit, modify, create derivative works from, sell, license, publicly display, commercially exploit, or otherwise use our content without prior written authorization.

“Virtulates,” the Virtulates logo, and associated branding may not be used without written permission.

13. FEEDBACK AND SUBMISSIONS

If you voluntarily provide suggestions, ideas, reviews, testimonials, or other feedback, you grant Virtulates a nonexclusive, worldwide, royalty-free license to use that feedback for legitimate business purposes, subject to applicable law.

We will obtain any additional permission legally required before using your name, image, likeness, or testimonial in advertising.

You should not send confidential or proprietary information through general Website forms unless specifically requested.

14. THIRD-PARTY SERVICES AND LINKS

The Website may contain links to or integrations with third-party platforms, including Mariana Tek, payment processors, social-media services, or other providers.

Third-party services may have their own terms, policies, fees, and privacy practices. Virtulates does not control and is not responsible for the independent content, availability, security, or practices of third-party services.

Your use of a third-party service may be governed by a separate agreement between you and that provider.

15. WEBSITE AVAILABILITY AND ACCURACY

We strive to provide accurate and current information but do not guarantee that Website content will always be complete, accurate, current, or error-free.

The Website may occasionally be unavailable because of maintenance, technical problems, third-party failures, security events, or circumstances outside our reasonable control.

We may correct errors, inaccuracies, or omissions and may change or update information without prior notice, subject to applicable law and existing contractual obligations.

16. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

VIRTULATES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

  • DEFECTS WILL ALWAYS BE CORRECTED;

  • THE WEBSITE OR ITS SERVERS WILL BE FREE OF HARMFUL COMPONENTS;

  • INFORMATION PROVIDED THROUGH THE WEBSITE WILL ALWAYS BE ACCURATE OR COMPLETE; OR

  • USE OF THE SERVICES WILL PRODUCE A PARTICULAR FITNESS, HEALTH, OR OTHER RESULT.

Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, VIRTULATES AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE WEBSITE OR ONLINE SERVICES.

THIS INCLUDES LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, OR USE, EVEN IF VIRTULATES HAS BEEN ADVISED THAT SUCH DAMAGES MAY BE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, VIRTULATES’ TOTAL LIABILITY ARISING FROM THE WEBSITE OR ONLINE SERVICES WILL NOT EXCEED THE GREATER OF:

  • The amount you paid directly to Virtulates for the specific online Service giving rise to the claim during the six months preceding the event; or

  • One hundred dollars ($100).

This limitation does not apply to liability that cannot legally be excluded or limited. Physical participation in Virtulates classes and use of studio equipment may also be governed by a separate liability waiver and assumption-of-risk agreement.

18. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Virtulates Studios LLC and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, and reasonable expenses arising from:

  • Your unlawful or unauthorized use of the Website or Services;

  • Your violation of these Terms;

  • Your infringement of another person’s rights; or

  • Information or content you submit through the Services.

This section does not require you to indemnify any party for conduct for which indemnification is prohibited by law.

19. SUSPENSION AND TERMINATION

We may suspend or terminate access to the Website or Services if we reasonably believe you have:

  • Violated these Terms or another applicable agreement;

  • Engaged in fraud, misuse, harassment, or unlawful activity;

  • Created a safety or security risk;

  • Failed to make required payments; or

  • Used the Services in a way that may harm Virtulates or another person.

Provisions that should reasonably survive termination—including provisions concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution—will remain in effect.

20. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal proceeding arising from these Terms or the Website must be brought in a state or federal court with jurisdiction in Hillsborough County, Florida. You and Virtulates consent to the personal jurisdiction and venue of those courts.

Nothing in these Terms prevents either party from bringing an eligible matter in small-claims court.

21. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our Services, business practices, or legal obligations.

Updated Terms will be posted on the Website with a revised “Last Updated” date. If required by law, we will provide additional notice or request renewed consent before a material change becomes effective.

Your continued use of the Website or Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

22. GENERAL TERMS

These Terms, together with our Privacy Policy and any applicable membership, purchase, waiver, or promotional agreement, constitute the applicable agreement between you and Virtulates concerning the Services addressed in them.

If a provision of these Terms is found unenforceable, it will be modified only to the extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization, asset transfer, or operation of law.

Headings are provided for convenience and do not affect interpretation.
